Company Registration, Annual Filings & Full Corporate Compliance

The Securities and Exchange Commission of Pakistan (SECP) administers the Companies Act 2017 — the foundational statute governing the formation, operation, and winding up of companies in Pakistan. Registering a company with SECP is the first step toward creating a legal entity with separate legal personality, limited liability protection for shareholders, and the credibility that comes with formal corporate status. However, SECP registration is only the beginning — companies must thereafter comply with a continuous stream of statutory obligations including annual return filings, financial statement submissions, director change notifications, and regulatory approvals for specific activities.

Ayesha Khalid Law Associates provides a full suite of SECP corporate services. We begin with company name clearance and reservation, advise on the optimal share structure and directorship composition, draft the Memorandum and Articles of Association, and complete the registration process through SECP's online e-Services portal. Upon successful registration, we obtain the Certificate of Incorporation and complete post-registration formalities including company seal, statutory books, and first board resolutions. We also handle FBR registration of the newly formed company, opening of a corporate bank account, and any sector-specific regulatory registrations.

For existing companies, we manage the full annual compliance calendar — filing annual returns, preparing and filing audited financial statements, notifying SECP of director appointments, resignations, and changes in registered address, and maintaining the statutory registers required under the Companies Act 2017. We also advise on corporate governance, shareholders' agreements, matters requiring special resolution, and complex corporate transactions such as mergers, acquisitions, and share transfers. Whatever your corporate legal need, Ayesha Khalid Law Associates provides the expertise and attention to detail that every company deserves.
